Amalgamated brands open US$20 million IPO…Brings Zimbabwe’s household brands to Victoria Falls Stock Exchange

Harare- Amalgamated Brands Limited has officially opened its US$20 million Initial Public Offering (IPO) on the Victoria Falls Stock Exchange (VFEX), marking a significant milestone for a Zimbabwean consumer goods group whose brands have been part of everyday life since 1947.

The Group announced this at its inaugural IPO Market Briefing on October 14, where it introduced investors, analysts and market participants to the business, its financial performance and growth plans.

From Spuds and Willards snacks to Sun Jam, Cashel Valley and Charhons, Amalgamated Brands brings together familiar household products under one integrated business.

Its operations span food manufacturing, distribution, merchandising and sales execution, giving the Group a connected presence from the factory floor to the retail shelf.

Amalgamated Brands was incorporated in 2018, and the Group operates through three complementary businesses: Cairns Foods, which manufactures its consumer brands;

Cailogistics, which handles logistics and distribution; and Cailo Marketing Services (CMS), which provides merchandising, sales execution and workforce services.

Together, these businesses give Amalgamated Brands greater control over how products are manufactured, distributed and made available to consumers across traditional, informal and modern retail markets.

Speaking at the briefing, Amalgamated Brands Independent Chairman, Washington Matsaira, emphasised that the Group’s strength lies not only in the recognition of its brands, but in its ability to consistently deliver them to market.

“In a market like ours, availability is not a given. It is earned.

“Brands are won at the factory, where we control quality and cost, and they are won again in the market, where the product either reaches the shelf or it does not.

“We have chosen to own both ends,” said Matsaira.

An IPO Built Around Growth

The IPO comprises approximately 57.1 million shares offered at US$0.35 per share, raising a total of US$20 million. Of this amount, US$5 million represents new shares issued by the Company, while US$15 million relates to existing shares being sold by majority shareholder Takura Capital Partners.

The new capital raised by Amalgamated Brands will be directed towards expanding manufacturing capacity, including investment in a new biscuit production line, a baked-beans plant and a snacks plant.

These investments are intended to strengthen the Group’s production capabilities and support the next stage of its growth.

Group Chief Executive Officer Anele Zunga outlined the Group’s expansion ambitions and the importance of investing in manufacturing capacity to support its established brands and market reach.

The listing will also broaden ownership of the business, with an anticipated public free float of 30.74% following the Offer and an expected market capitalisation of US$68.7 million.

Established Operations, Clear Growth Ambitions

Amalgamated Brands enters the public market with an established operating platform and a significant proportion of its business conducted in US dollars.

More than 95% of the Group’s revenue is billed in US dollars, providing an important feature of its operating model in Zimbabwe’s economic environment.

The Group recorded pro forma revenue of US$78.7 million for the financial year ended 2025, representing growth of 33%.

At the briefing, Group Finance Director Rumbidzai Manjengwa presented the Group’s financial position and directors’ forecasts.

For FY2026, the directors forecast revenue of US$94.4 million and earnings before interest, tax, depreciation and amortisation (EBITDA) of US$14.1 million. By FY2030, the directors forecast revenue of US$120 million and EBITDA of US$23 million.

These forecasts reflect the Group’s stated growth ambitions and are subject to the assumptions and risks detailed in the Prospectus.

Stronger Governance, Broader Ownership

The move from a private organisation to a publicly listed company will introduce an independent-majority Board, including the Chairman, supported by four Board committees from Admission.

This governance structure is intended to strengthen oversight, accountability and transparency as the business enters its next phase.

Takura Capital Partners will remain the controlling shareholder following the Offer.

The IPO has been structured to accommodate both institutional and individual investors, including Zimbabweans living abroad. Shares are offered at a single price of US$0.35, with a minimum application of 100 shares, equivalent to US$35.
